By accessing or using LegalBanner at legalbanner.com (the "Service"), you confirm that you have read, understood, and agree to these Terms of Use ("Terms"), as well as our Privacy Policy and Refund Policy. If you do not agree, you may not use the Service. These Terms form a binding legal agreement between you and Sodasoft LLC.

LegalBanner is a software-as-a-service (SaaS) platform that provides:

- Multi-site management dashboards
3. Account Registration
To access the Service, you must create an account. You agree to provide accurate and complete information during registration, maintain the security of your password, promptly update your account information if it changes, and accept responsibility for all activity under your account. You must notify us immediately at support@legalbanner.com if you suspect unauthorized access.
You must be at least 18 years old to use the Service. By registering, you represent that you are 18 or older and have the legal authority to enter into this agreement.
4. Subscription Plans and Payment
Free Plan: Available at no charge with limited features. No credit card required. Paid Plans (Starter and Pro): Billed monthly in advance. Prices are listed at legalbanner.com and may change with 30 days notice.All payments are processed by Stripe, Inc. We do not store your full credit card details. Subscriptions renew automatically unless cancelled before the renewal date. You authorize us to charge your payment method on a recurring basis. You may cancel at any time from your account billing settings.
Sodasoft reserves the right to modify pricing with 30 days advance notice. Continued use after a price change constitutes acceptance.
5. Refund Policy
Paid subscriptions (Starter and Pro) include a 30-day money-back guarantee. See our full Refund Policy at legalbanner.com/refund for details. The Free plan is not subject to charges and therefore not eligible for refunds.
6. Acceptable Use
You agree not to use the Service for any unlawful purpose or in violation of any regulations. You may not reverse engineer, decompile, or attempt to extract source code. Reselling or sublicensing the Service without written permission is prohibited. You may not use the Service to send unsolicited communications, attempt unauthorized access to any part of the infrastructure, collect data in violation of applicable privacy laws, or interfere with the integrity or performance of the Service.
7. Intellectual Property
The Service, including its software, design, text, graphics, and logos, is owned by Sodasoft LLC and protected by intellectual property laws. These Terms do not grant you any rights to use Sodasoft trademarks, logos, or brand features.
Your data (including your website consent logs and configurations) remains your property. You grant Sodasoft a limited license to process it solely to provide the Service.
8. Data Processing
By using LegalBanner, you acknowledge that Sodasoft processes certain data as described in our Privacy Policy. For GDPR purposes, Sodasoft acts as a data processor with respect to consent data collected on your behalf, and as a data controller with respect to your account information.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Sodasoft does not warrant that the Service will be uninterrupted or error-free. LegalBanner provides tools to assist with compliance but does not provide legal advice. Consult a qualified attorney for legal guidance specific to your situation.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SODASOFT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.
SODASOFTS TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO SODASOFT IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Sodasoft LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, violation of any third-party rights, or violation of any applicable law.
12. Termination
Sodasoft may suspend or terminate your account at any time for violation of these Terms, non-payment, or conduct that may harm the Service or other users. You may delete your account at any time from your account settings. Upon termination, access to the Service ceases and your data will be deleted per our data retention policy.
13. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law provisions. Legal actions arising from these Terms shall be brought in Sheridan County, Wyoming, or resolved through binding arbitration as described below.
14. Dispute Resolution
Any dispute that cannot be resolved informally shall be submitted to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules in Sheridan, Wyoming. Class action waivers apply — you waive any right to participate in class action lawsuits.
15. Changes to Terms
Sodasoft reserves the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice at least 14 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance.
